Kahiki Foods' Shareholders Approve Merger
Under the terms of the merger agreement, GTG Foods, Inc., merged with and into Kahiki Foods, Inc., with Kahiki Foods continuing as the surviving corporation.
27/06/07 Kahiki Foods, Inc., Gahanna, Ohio, announced that its merger with GTG Foods, Inc., an Ohio corporation and a subsidiary of Delabarta, Inc., has been completed. The merger was approved at a special meeting of shareholders held Friday, June 22, 2007. Merger documents were filed with the State of Ohio yesterday. Delabarta is a wholly-owned subsidiary of ABARTA, Inc., a privately-held Pennsylvania corporation.
Under the terms of the merger agreement, GTG Foods, Inc., merged with and into Kahiki Foods, Inc., with Kahiki Foods continuing as the surviving corporation. Kahiki Foods will continue its operations as a privately-held company and subsidiary of Delabarta, Inc., with manufacturing operations in Gahanna, Ohio. Outstanding preferred shares were converted into the right to receive $3.288 in cash and outstanding common shares were converted into the right to receive $2.163 in cash.
