Global Beverage Solutions signs definitive agreement to acquire Rudy Beverage Group
The agreement calls for the purchase of 80% of the issued and outstanding shares of Rudy Beverage Group Inc. for 6 million restricted common shares of GBVS in a stock-for-stock exchange.
24/11/05 Global Beverage Solution Inc. has announced that it has signed the definitive stock purchase agreement to acquire 80% of Rudy Beverage Group Inc. ("RBGI").
The agreement calls for the purchase of 80% of the issued and outstanding shares of Rudy Beverage Group Inc. for 6 million restricted common shares of GBVS in a stock-for-stock exchange. In addition, the agreement has an earn-out provision for an additional 10 million shares of GBVS that are subject to certain milestones being achieved by RBGI.
Rudy Beverage Group was founded by Rudy Ruettiger and Drew Carver to create a unique line of beverages that are higher in nutritional value but lower in sugar than existing brands. There are three distinct categories: Rudy Flying colors caters to children K1 through 8; Rudy Revolution is a sports drink aimed at athletes across the board; and Rudy Fortified is tailored to deliver vitamins and minerals while ridding the body of antioxidants. The goal of the Rudy line of beverages is to create flavorful juice blends, some of which will incorporate the superior hydration capabilities of Eon Structured Water. The Rudy Beverage Group offers all people the ability to make better choices for themselves and their children through proper hydration and by minimizing sugar intake.

These entities will have the prospect for expansion as a result of access to capital and/or additional management acumen.
